Position Responsibilities Manage consolidated C corporation compliance, including Form 1120 consolidated returns, intercompany eliminations, Section 382 ownership change analysis, and foundational knowledge of consolidated return regulations. Oversee partnership compliance, focusing on Form 1065 for private equity operating partnerships. This includes understanding tiered structures, Section 704(b) and 704(c) allocations, Section 743(b) step-ups, and K-1 reporting for private equity sponsors and blockers. Advise on private equity deals and transactions, including transaction cost analysis, elections under Section 338(h)(10) and 336(e), Form 8594 purchase price allocations, and the management of earnout and escrow treatments, as well as post‑acquisition integration. Handle multistate compliance, providing expertise on apportionment, combined and unitary filings, nexus analysis, and tracking state net operating losses after mergers and acquisitions. Stay updated on current hot topics like Section 163(j) interest limitations and Section 174 and 174A capitalization and recovery options, as well as GILTI and FDII at a working level. Conduct ASC 740 provision reviews, oversee deferred tax and valuation allowance analysis, and ensure proper coordination of return to provision with client controllers and auditors. Utilize GoSystems proficiently for consolidated C corporation returns; experience with CCH Axcess cannot substitute for this requirement. Qualifications Senior Manager level with 8 to 12 years of public accounting experience. CPA certification is required. Experience directly managing private equity backed clients is essential, ideally within consolidated C corporation portfolio companies or private equity operating partnerships. Background working alongside in‑house Directors of Tax and engaging with tax leadership on the client side as a peer. Location is flexible. Managerial Profile Ability to lead a senior engagement team, review complex consolidated returns, and manage workflow for multiple high‑value accounts simultaneously. Demonstrated confidence to maintain direct relationships with in‑house Directors of Tax who expect high technical precision and proactive advisory, not just compliance‑based delivery. Proven track record in developing and mentoring managers and staff. Possess executive presence to represent Aprio credibly in high‑expectation engagements.
