ECVC Associate

Overview We are partnering with a premier AmLaw firm seeking a highly accomplished ECVC Associate (4–8 years) with substantial experience in venture capital and/or M&A transactions. This is a front-line role, not a back-room drafting seat. You will serve as a strategic advisor to founders, growth-stage companies, and top-tier venture investors, leading sophisticated transactions and engaging directly with executive teams and boards of directors. Responsibilities Lead venture financings from SAFEs and seed rounds through late-stage preferred equity transactions Advise emerging growth companies from formation through exit Structure and negotiate preferred stock financings and complex governance matters Counsel founders, CEOs, and boards on day-to-day corporate strategy and high-stakes transactions Represent venture capital funds and institutional investors in portfolio investments Manage transactions independently while mentoring junior associates Client Profile You’ll Support You’ll work with high-growth companies across cutting-edge sectors including: Artificial Intelligence Digital Health Defense Technology Life Sciences Fintech Electronic Gaming These are companies scaling from pre-seed to pre-IPO. You’ll be embedded in the innovation economy, advising businesses that shape markets. Ideal Background 4–8 years of experience at a leading law firm Strong venture capital and/or M&A transaction experience Demonstrated ability to lead deals and manage client relationships Exceptional drafting, negotiation, and communication skills Active bar admission in the jurisdiction of practice Why This Role High client demand.
