Health Law Associate Attorney (M&A & Regulatory)

Direct Counsel is seeking a Health Law Associate to join a nationally recognized law firm's Health Law practice in Washington, DC, New York, or Los Angeles . This is an exceptional opportunity for a mid-level attorney to work on sophisticated healthcare transactions, regulatory counseling matters, and complex contracting issues for clients across the healthcare industry.

Position Overview

The ideal candidate will have experience advising healthcare organizations, investors, providers, pharmacies, managed care organizations, pharmacy benefit managers (PBMs), and other industry participants on transactional and regulatory matters. This role offers significant client exposure and the opportunity to work alongside experienced healthcare attorneys on high-profile matters at the intersection of healthcare law, business strategy, and regulatory compliance.

Responsibilities

• Support healthcare mergers, acquisitions, and strategic transactions, including due diligence, transaction execution, regulatory analysis, and related workstreams.

• Advise clients on a broad range of healthcare regulatory issues affecting providers, pharmacies, PBMs, managed care organizations, healthcare services companies, and investors.

• Draft, review, and negotiate healthcare-related transaction documents, commercial agreements, and ancillary transaction materials.

• Assist with healthcare contracting matters, including provider agreements, pharmacy agreements, managed care contracts, vendor agreements, service agreements, and related commercial arrangements.

• Conduct legal research and prepare regulatory analyses, client memoranda, and compliance guidance.

• Manage process-driven workstreams and coordinate transaction activities to support efficient execution of client matters.

• Collaborate with attorneys across multiple practice areas, including corporate, regulatory, litigation, privacy, and healthcare compliance teams.

• Work directly with clients and senior attorneys on recurring regulatory, transactional, and operational healthcare matters.

• Develop and maintain institutional knowledge of client operations and regulatory environments to support long-term client relationships.

Qualifications

• J.D. or LL.M. from an ABA-accredited law school.

• Active bar admission or eligibility for admission in Washington, DC, New York, or California.

• Approximately 3–5 years of healthcare law experience, including healthcare transactions, regulatory counseling, healthcare contracting, or a combination of these areas.

• Experience supporting healthcare M&A transactions, including due diligence, drafting transaction documents, regulatory issue-spotting, and transaction management.

• Experience drafting, reviewing, and negotiating healthcare industry agreements.

• Familiarity with healthcare regulatory frameworks affecting providers, pharmacies, PBMs, managed care organizations, and other healthcare industry participants.

• Strong analytical, organizational, and project management skills.

• Ability to manage multiple workstreams independently while exercising sound judgment and escalating issues appropriately.

• Excellent written, oral, and interpersonal communication skills.

• Strong attention to detail and ability to thrive in a collaborative, fast-paced environment.

Compensation & Benefits

• Salary range: $260,000 – $365,000 , depending on experience and qualifications.

This position follows a hybrid work schedule , with attorneys expected to work in the office approximately 60% of the time.
