General Counsel, Miami-Fort Lauderdale area
We are seeking an experienced, hands-on General Counsel to lead all aspects of corporate governance, compliance and legal functions. He or she will provide strategic guidance across complex business matters, with a particular focus on M&A activities, reporting, compliance and risk management.
Significant experience leading M&A transactions and complex reporting requirements is required.
- Lead legal, compliance, corporate governance, and risk management functions, serving as a trusted advisor to the executive team.
- Oversee regulatory reporting, compliance, disclosures and corporate governance.
- Provide legal leadership for mergers and acquisitions, financing activities, capital markets transactions, and other strategic growth initiatives.
- Negotiate and manage complex commercial agreements, corporate transactions, and strategic partnerships.
- Advise on employment, regulatory, and business matters while managing outside counsel and mitigating legal risk across the enterprise.
REQUIREMENTS
- Juris Doctor (JD) from an accredited law school
- 10+ years of legal practice, combining top law firm experience with public company experience
- M&A Track Record : direct experience with end-to‑end corporate transactions and strategic deals
- Comprehensive knowledge of regulatory / statutory public company reporting requirements
