Direct Counsel is representing a reputable law firm seeking a Senior Corporate Capital Markets Attorney to join its Corporate Practice.

This opportunity is ideal for an experienced corporate attorney with a strong background in capital markets transactions . The role involves advising public and private companies on complex domestic and cross-border securities matters, capital raising transactions, and corporate governance issues.

• Advise clients on domestic and cross-border capital markets transactions
• Draft and review securities offerings, including:
  • Rule 144A offerings
  • S-1, S-3, and S-4 registration statements
• Assist with securities offerings and M&A-related filings
• Interact with the SEC and other regulatory agencies on compliance matters
• Advise public companies on ongoing reporting requirements under the ’34 Act, including:
  • 10-K, 10-Q, 8-K filings
  • Proxy statements
  • Sections 13 and 16 reporting
• Counsel public and private companies on capital raising transactions
• Advise on corporate governance matters for public companies
• Collaborate with clients and internal teams on complex transactions

• 8+ years of experience in corporate law with a focus on capital markets
• Strong experience with:
  • Securities offerings
  • SEC reporting and compliance
  • Corporate governance
  • M&A transactions (preferred)
• Excellent drafting, negotiation, and analytical skills
• Strong academic credentials required (JD from ABA-accredited law school)
• Ability to manage complex transactions independently and interact directly with clients
• Strong organizational and time management skills
• High attention to detail and proactive problem-solving approach

• Public and private securities offerings
• Proxy statements and SEC filings
• Complex M&A transactions
