Direct Counsel is representing a reputable law firm seeking a Senior Corporate Capital Markets Attorney to join its Corporate Practice.
Locations (Onsite)- Fort Lauderdale, FL
- Miami, FL
- Boston, MA
This opportunity is ideal for an experienced corporate attorney with a strong background in capital markets transactions . The role involves advising public and private companies on complex domestic and cross-border securities matters, capital raising transactions, and corporate governance issues.
Key Responsibilities- Advise clients on domestic and cross-border capital markets transactions
- Draft and review securities offerings, including:
- Rule 144A offerings
- S-1, S-3, and S-4 registration statements
- Assist with securities offerings and M&A-related filings
- Interact with the SEC and other regulatory agencies on compliance matters
- Advise public companies on ongoing reporting requirements under the ’34 Act, including:
- 10-K, 10-Q, 8-K filings
- Proxy statements
- Sections 13 and 16 reporting
- Counsel public and private companies on capital raising transactions
- Advise on corporate governance matters for public companies
- Collaborate with clients and internal teams on complex transactions
- 8+ years of experience in corporate law with a focus on capital markets
- Strong experience with:
- Securities offerings
- SEC reporting and compliance
- Corporate governance
- M&A transactions (preferred)
- Excellent drafting, negotiation, and analytical skills
- Strong academic credentials required (JD from ABA-accredited law school)
- Ability to manage complex transactions independently and interact directly with clients
- Strong organizational and time management skills
- High attention to detail and proactive problem-solving approach
- Public and private securities offerings
- Proxy statements and SEC filings
- Complex M&A transactions
