We are actively hiring for a Sr. Counsel, Commercial Transactions!

Your Role: This is a senior attorney role in CSAA’s Commercial Contracts function, which handles the organization’s procurement and insurance contracts. The primary focus is sophisticated insurance transactions—not insurance policies—including distribution arrangements, reinsurance, and complex commercial insurance programs.

You will work with business partners to structure transactions, solve novel legal and business problems, and translate new business models into clear allocations of insurance risk, economic exposure, regulatory and operational responsibility, and contractual rights. The role also offers opportunities to contribute to broader company initiatives, process improvement, and adjacent areas handled by the team.

Your Work:

• Lead the structuring, drafting, and negotiation of complex insurance distribution arrangements, including agency and aggregator relationships.
• Advise on reinsurance transactions, including inbound, outbound, catastrophe, and opportunistic reinsurance.
• Structure complex, often multi-party insurance programs and commercial transactions, including fleet programs, fronting arrangements, high- or 100% deductible structures, collateral arrangements, MGA or program administrator relationships, and related program, third-party claims administration, and service agreements.
• Coordinate suites of interrelated agreements and help business partners translate novel business models into workable legal and commercial structures.
• Partner across the organization on strategic and emerging initiatives, and contribute as needed to other areas handled by the team, including general commercial contracts, intellectual property, and marketing matters.
• Participate in Legal department and company process-improvement initiatives, including thoughtful adoption of new tools and approaches to delivering legal services.

Required Experience, Education and Skills

• J.D. from an accredited U.S. law school and bar admission in good standing in the state of residency.
• 10+ years of experience in a relevant practice area.
• Substantial knowledge of current law and issues within area of specialty.
• Ability to communicate verbally and in writing in an organized, effective, and timely manner.
• Ability to work in an organized and efficient manner.

The national average salary range for this position is $177,525.00-$197,250.00. However, we have a location-based compensation structure. Our salary ranges vary and are calculated based on work location. The starting pay range for this position across all the states we hire in is $177,525.00-$236,650.00. This role also includes an opportunity for a company-wide annual discretionary bonus, through our Annual Incentive Plan (AIP), of up to 15% of eligible pay.Colorado Specific Job Range :$177,525.00 - $216,950.00This job posting will be unposted on Fri, 9 Oct 2026.
