Position Title: Corporate Paralegal The Corporate Paralegal plays a crucial role in supporting attorneys within a dynamic legal environment. This position involves assisting with a variety of corporate legal matters, particularly in venture capital and mergers and acquisitions. Salary Range: $80,000 - $130,000 / Year DOE Corporate Paralegal Responsibilities Support both emerging companies and venture capital practices, as well as mergers and acquisitions Act as a liaison with clients and attorneys; respond to client requests for information and coordinate case‑related documents Prepare closing documentation, including drafting, organizing, proofreading, and assembling documents Prepare mergers and acquisitions documents, venture capital financing documents, and general corporate documents Prepare applications for state and federal regulators Conduct, organize, review, and summarize due diligence documents, including preparation of checklists and tracking receipt of documents Prepare closing checklists and track closing‑related items, performing post‑closing follow‑up as needed Maintain accurate records of hours worked for accountability and client billing purposes Corporate Paralegal Requirements At least 3 years of corporate paralegal experience Experience specifically in venture capital and mergers & acquisitions Strong understanding of corporate law and business transactions, such as mergers and acquisitions, and/or venture capital financings Private company experience is required Experience with CARTA or Pulley, which are cap table management systems, is essential Experience with accounting and tax preparation software such as OneSource/Zane, GEMs, or ProSystem fx is preferred Bachelor’s degree and/or paralegal certificate is preferred Benefits 401(k) with immediate eligibility and contributions Cigna Medical coverage available from the first day of the month following the start date Delta Dental PPO with a deductible of $50 per person each calendar year 19 days of accrued vacation and unlimited tracked sick time 10 paid holidays If you are a Corporate Paralegal looking to take the next step in your career, apply now! #J-18808-Ljbffr
