Director, Structured Finance Counsel

This role of Director, Structured Finance Counsel is a hybrid position requiring three days in the office. The candidate will have opportunities for management and growth. The position involves advising business teams involved in structured finance activities such as asset-backed lending, mortgage and real estate finance, whole loan transactions, and securitization programs. Key responsibilities include leading the preparation, review, and negotiation of complex financing and securitization agreements, and collaborating with business, compliance, risk, and operations teams to support new products and strategic initiatives. Additional responsibilities include evaluating and enhancing internal policies related to structured finance, interpreting evolving legal and regulatory requirements, and participating in cross-functional working groups. The role also involves providing legal guidance to front-office professionals and corporate functions, delivering clear legal analysis on complex questions, and representing the organization in industry groups and regulatory engagement efforts. The candidate is expected to have expertise in areas such as securitization, corporate, securities, and finance law, along with excellent communication and problem-solving skills. The ideal applicant should hold a Juris Doctor (J.D.) degree and admission to practice law in at least one U.S. jurisdiction, with significant experience in structured finance. Knowledge of securitization processes and regulations, corporate and creditor rights, as well as expertise in bankruptcy law, are essential.
