Incentives Associate

Overview This is an Incentives associate attorney position in Clifford Chance's New York office. You will join the firm's Tax, Pensions, Employment & Incentives Group. The role involves advising public and private companies globally on remuneration, incentives, and employment tax matters. Work includes advising on remuneration policy, incentive design and operation, corporate governance, regulatory issues, disclosure, and executive hires/exits. Responsibilities cover legal, regulatory, and tax aspects of compensation, including share-based and cash compensation (e.g., all-employee plans, LTIPs, MIPs, deferred, and bespoke arrangements). You will handle standalone advisory matters and compensation aspects of major corporate transactions such as M&A, IPOs, and other transformational events. Required qualifications include a J.D. from an accredited US law school, high academic achievement, and admission to the New York Bar (or ability to waive in). Candidates must possess experience in Executive Compensation, specifically designing, structuring, and implementing equity-based compensation alternatives, and expertise in employment, retention, and separation agreements. Strong public and private M&A experience is also essential. Prior experience at a peer law firm is required. Preferred class years for this role are 2021-2023.
