Corporate Paralegal Specialist - Transactions, Security, Governance

Overview

A leading global law firm is seeking an experienced Corporate Paralegal Specialist to join its growing Corporate practice. This individual will work closely with attorneys on a wide range of corporate transactions, entity management, securities compliance matters, and corporate governance activities.

This is an excellent opportunity for a highly organized legal professional with strong experience supporting venture-backed companies, private company transactions, corporate formations, capitalization management, and securities filings.

Key Responsibilitie

• sMaintain and manage capitalization tables, stock ledgers, and option record
• sUtilize platforms such as Carta, Pulley, and related equity management softwar
• ePrepare and file Section 16 and SEC-related filings, including EDGAR submission
• sAssist with corporate entity formations, including corporations, LLCs, and nonprofit organization
• sDraft and prepare corporate governance documents, including bylaws, resolutions, consents, and organizational document
• sCoordinate and manage corporate transactions, mergers, acquisitions, financings, and related closing
• sPrepare closing checklists, closing sets, closing books, and transaction documentatio
• nConduct UCC searches and filing
• sAssist with due diligence reviews and document organizatio
• nPrepare and file annual reports and state corporate filing
• sSupport stock issuances, transfers, option grants, and corporate record maintenanc
• eConduct Blue Sky research and assist with state securities filing
• sManage data rooms, document repositories, and electronic transaction file
• sCoordinate execution and management of signature packets through DocuSign and similar platform
• sMaintain corporate minute books and entity record

Qualificatio

• nsBachelor's degree and/or Paralegal Certificate preferr
• edMinimum of several years of corporate paralegal experience within a law firm or corporate legal departme
• ntStrong understanding of corporate governance, securities compliance, and entity manageme
• ntExperience supporting mergers and acquisitions, financings, and other corporate transactio
• nsKnowledge of the Securities Act of 1933, Securities Exchange Act of 1934, Delaware Corporate Law, and California Corporate L
• awExperience with Carta, Pulley, EDGAR, HighQ, Box, DocuSign, SimplyAgree, or similar legal technology platfor
