Corporate Governance Mid-Level Associate

Dechert LLP seeks a talented mid-level associate (3-6 years) to join our growing Corporate Governance and Special Committee practice. This role offers the opportunity to work on sophisticated, board-level matters involving fiduciary duties, special committees, activism defense, M&A, governance, and Delaware Court of Chancery litigation.Key ResponsibilitiesAdvise boards of directors, special committees, management, and significant stockholders on corporate law issues, including fiduciary duties, conflicts of interest, and process design for complex transactions and other matters involving litigation riskSupport special committee representations in conflict transactions, including going-private deals, management buyouts, and interested stockholder transactionsAssist clients with activism preparedness, including bylaw reviews, advance notice provision analysis, and governance auditsAdvise on M&A transactions, including deal structuring, board process, disclosure obligations, and litigation risk managementResearch and advise on cutting-edge corporate law developments and their implications for clientsDraft board materials, legal opinions, and client memorandaSupport Delaware Court of Chancery litigation mattersCollaborate with partners across Corporate & Securities, Financial Services, Litigation, and other practice groups to provide high-level, strategic advice on integrated client mattersWe are looking for:J.D. from a top-tier law school with excellent academic credentialsClerkship with the Delaware Court of Chancery experience preferred but not required3-6 years of experience (including clerkship, if applicable) at a major law firm with significant Delaware corporate law exposureStrong understanding of Delaware General Corporation Law, fiduciary duties, and Court of Chancery practiceExperience with Nevada corporate law will be given additional considerationExperience with special committees, conflict transactions, or M&A matters preferredExceptional legal research, writing, and analytical skillsAbility to work independently and manage multiple matters simultaneouslyStrong client service orientation and business judgmentCommitment to collaborative, team-based practiceAdmission to California bar; Delaware or Nevada bar admission a plus but not requiredWhat We OfferDirect mentorship from nationally recognized corporate law expert and ability to work on matters with senior leadership of the firmSophisticated, high-stakes advisory and litigation matters involving cutting-edge corporate law developmentsOpportunity to develop deep expertise in a high-demand specialty areaExposure to sophisticated, board-level client matters with institutional investors, public companies, and private equity firmsPlatform to build national profile through thought leadership and complex case work Collaborative environment with cross-practice opportunitiesSalary is $260,000+ commensurate with class year and experience.
