Corporate Paralegal

Overview Gunderson Dettmer is hiring a Corporate Paralegal in its Silicon Valley office to support corporate formations, venture capital financings, mergers and acquisitions, and securities offerings. The role includes assistance with stock incentive program administration and compliance with state and federal securities law. Job Responsibilities Maintain accurate and up-to-date corporate records, including bylaws, certificate of incorporation, board resolutions, stock certificates, and annual reports. Conduct legal research on corporate law matters and applicable regulations. Assist with legal documentation and due diligence for financings and M&A transactions. Maintain records related to shareholder meetings and voting procedures. Assist with the formation and qualification of new business entities in various jurisdictions. Draft and revise corporate documents such as resolutions, bylaws amendments, and operating agreements. Job Requirements Minimum one year of paralegal experience in securities and/or general corporate law. Advanced proficiency in Microsoft Word and Excel. Excellent interpersonal, written (grammar, spelling, formatting), and verbal communication skills. Demonstrated problem‑solving skills. Ability to work collaboratively with all levels of the organization and demonstrate a team‑oriented work style. Excellent organizational skills and attention to detail. Ability to manage shifting priorities in a fast‑paced, dynamic environment. Bachelor’s degree (BS/BA). Compensation and Benefits Full‑time, non‑exempt, hybrid position. Annualized base salary range: $75,000 – $180,000. Compensation is based on job‑related capabilities, experience, and location.
