Associate - Corporate - Public Company Representation

About the Role The Capital Markets practice group in Chicago is seeking a highly qualified associate with a minimum of two years of experience in capital markets and public company representation to join the 2nd through 4th year associate class. Responsibilities Counsel corporate directors, officers, and senior management on corporate governance matters. Advise on SEC, stock‑exchange, and foreign private issuer compliance. Prepare proxy statements, earnings releases, and periodic reports (Forms 10‑K, 10‑Q, 8‑K). Assist in annual shareholder meetings and other corporate reporting. Provide counsel on ESG strategy and reporting, and collaborate with Executive Compensation, Employment & Benefits groups. Qualifications Minimum of 2 years of experience in capital markets and public company representation. Experience with SEC or comparable securities regulators preferred.
