Corporate Paralegal

LHH Recruitment Solutions is partnering with a well‑established Tampa law firm to recruit an experienced Corporate Paralegal for its growing Corporate practice. This position offers the opportunity to work alongside accomplished attorneys on sophisticated corporate finance, venture capital, private equity, and mergers & acquisitions transactions. The ideal candidate has experience supporting complex corporate transactions from entity formation through closing. Responsibilities Support attorneys through all phases of corporate finance, venture capital, private equity, and M&A transactions Prepare and maintain corporate governance documents, including organizational documents, resolutions, consents, and corporate minute books Coordinate and manage due diligence efforts, including organizing and maintaining virtual data rooms Draft and file business entity formation, qualification, dissolution, and related state filings Prepare closing checklists, signature packets, closing binders, and post‑closing documentation Assist with capitalization tables, equity issuances, stock transfers, and other corporate finance matters Conduct UCC searches and prepare UCC filings Maintain corporate records and ensure compliance with state filing and reporting requirements Serve as a point of contact with clients, government agencies, outside counsel, and third‑party vendors throughout transactions Qualifications 5+ years of corporate paralegal experience, preferably within a law firm Experience supporting mergers and acquisitions, venture capital, corporate finance, or private equity transactions Strong understanding of corporate governance, entity management, and transactional documentation Experience coordinating due diligence and complex transaction closings Exceptional organizational and project management skills with the ability to prioritize competing deadlines Proficiency with Microsoft Office and corporate records management software Excellent written and verbal communication skills with a client‑service mindset Why You’ll Love This Opportunity Exposure to sophisticated, high‑value corporate transactions Excellent long‑term growth opportunities with a highly respected corporate practice If you’re an experienced Corporate Paralegal looking to join a dynamic team handling complex finance and M&A transactions, we’d love to connect with you.
