Corporate Paralegal

We are seeking an experienced and highly organized Paralegal, Corporate Governance & Health Plan Operations to support the Legal and Compliance Department. This role will provide critical support across corporate governance, entity management, health plan licensing, regulatory compliance, contract administration, litigation management, and legal operations. The ideal candidate will have experience supporting managed care organizations, health plans, provider groups, or healthcare-related entities and possess a strong understanding of corporate governance requirements within a regulated healthcare environment. This role will also leverage modern legal technologies and AI-powered tools to enhance efficiency, improve workflows, and support legal department operations. Please note that you will need to work out of the corporate office in Tampa 2-3 days per week. Key Responsibilities Corporate Governance & Entity Management Prepare and maintain corporate governance documents, including board and committee agendas, meeting materials, resolutions, written consents, minutes, charters, and annual reports. Coordinate board of directors and committee meetings and support related governance activities. Maintain corporate minute books, organizational charts, governance records, and entity management databases. Manage entity formations, qualifications, withdrawals, dissolutions, annual reports, and related filings across multiple jurisdictions. Maintain corporate records and ensure compliance with applicable governance requirements. Health Plan Operations & Regulatory Support Support health plan licensing, maintenance, and regulatory filings. Assist with healthcare regulatory compliance activities involving managed care and health plan operations. Coordinate with regulators, outside counsel, and internal business teams on licensing and governance matters. Support responses to audits, regulatory inquiries, and compliance-related requests. Monitor regulatory deadlines and ensure timely completion of required filings and submissions. Contract Administration & Legal Operations Draft, review, organize, and maintain contracts, amendments, and legal agreements. Establish and maintain the legal department's contract management system and associated workflows. Track contract renewals, obligations, and key business terms. Manage legal department records and document retention processes. Track open legal matters, project deliverables, deadlines, and department priorities. Litigation & Outside Counsel Management Organize and maintain litigation files and legal documentation. Coordinate document collection and case management activities. Monitor and track outside counsel invoices, budgets, and billing compliance. Assist in managing outside counsel relationships and reporting. AI & Legal Technology Utilize AI-powered legal tools to streamline contract review, legal research, document analysis, and workflow management. Identify opportunities to automate legal processes and improve department efficiency. Support implementation and optimization of legal technology platforms and solutions. Promote innovation and best practices related to AI-enabled legal operations. Cross-Functional Collaboration Partner with Compliance, Finance, Human Resources, Operations, and Information Technology teams. Support strategic legal and compliance initiatives across the organization. Maintain strict confidentiality and exercise sound judgment when handling sensitive legal and business matters. Required Qualifications Minimum of 5 years of paralegal experience, with a focus on corporate governance, healthcare law, health plans, managed care, or regulated healthcare environments. Direct experience supporting managed care organizations, health plans, healthcare service organizations, provider groups, or health insurance entities. Demonstrated ability to build and organize legal operations systems, governance processes, and contract management programs. Experience leveraging AI legal tools, contract review platforms, document automation systems, and AI-assisted legal research technologies. Strong organizational and project management skills with the ability to manage multiple priorities simultaneously. Exceptional attention to detail and accuracy. Strong written, verbal, and interpersonal communication skills. Ability to work independently and collaboratively across multiple business functions. Paralegal Certificate from an ABA-approved program, Associate's Degree, Bachelor's Degree, or equivalent combination of education and experience. Preferred Qualifications Florida Registered Paralegal (FRP) designation. Experience with entity management platforms such as CT Corporation, CSC Global, Cogency, or similar systems. Florida Notary Public commission or willingness to obtain. Knowledge of HIPAA, healthcare privacy, and information security requirements. Experience supporting boards of directors, executive leadership teams, and governance committees. Experience within Medicare Advantage, Medicaid, managed care, provider organizations, or health plan operations. Familiarity with legal operations best practices and records management programs.
