Job Title: Corporate & Securities Counsel
\nLocation: San Diego, CA (fully onsite) - relocation package available
\nSalary: $200,000–$230,000 base, plus bonus and equity
\nSkills: Securities Law, Corporate Governance, Biotech Industry, BigLaw, SEC Reporting

As Corporate & Securities Counsel, you will play a pivotal role in supporting the company’s growth and innovation through expert legal guidance in a thriving, well-funded biotech environment in San Diego.
\n \nResponsibilities:
\n- \n
- Provide legal counsel on a broad range of securities matters, including SEC filings, periodic reports, and compliance with public company disclosure obligations. \n
- Advise on corporate governance matters and support board and committee activities. \n
- Draft, review, and negotiate commercial contracts, including strategic collaborations, licensing, and partnership agreements typical in biotechnology firms. \n
- Manage legal due diligence and documentation for mergers, acquisitions, and other strategic initiatives. \n
- Support the company’s growth by partnering with cross-functional teams, including R&D, finance, and business development. \n
Must-Have Skills:
\n- \n
- Juris Doctor (JD) degree and admission to practice law in California. \n
- 4–5+ years of public company experience in securities law and corporate governance. \n
- Experience in the biotechnology or life sciences industry. \n
- Law firm experience. \n
- Strong track record of preparing and reviewing SEC filings and managing public company reporting obligations. \n
- Expertise in commercial contract drafting and negotiation, especially related to biotech collaborations and licensing. \n
- Highly motivated, driven, and eager to learn, take on new challenges, and grow professionally. \n
Nice-to-Have Skills:
\n- \n
- Familiarity with international securities law and cross-border transactions. \n
- Understanding of equity compensation plans and corporate finance instruments typical in biotechnology. \n
