Assistant General Counsel

A leading global financial markets and infrastructure organization is seeking an Assistant General Counsel to join its Chicago-based legal team. This is a highly visible role supporting complex strategic transactions, investments, partnerships, and corporate development initiatives across a sophisticated and rapidly growing business. The ideal candidate will bring a strong foundation in corporate transactions from a large law firm, private equity environment, or public company setting, along with the ability to advise senior executives on high-impact strategic matters.

Responsibilities

• Lead legal support for mergers & acquisitions, investments, dispositions, joint ventures, and strategic partnerships.
• Structure, negotiate, draft, and execute complex corporate transactions.
• Provide legal guidance related to commercial relationships and strategic business initiatives.
• Support management of an investment portfolio, including governance, ongoing oversight, and exit transactions.
• Advise internal business leaders on strategic and transactional matters.
• Coordinate cross-functional legal support involving employment, intellectual property, regulatory, finance, tax, and other stakeholders.
• Support corporate governance processes, including board and executive-level approval materials.
• Draft, review, and negotiate complex transactional and commercial agreements.
• Advise on legal and regulatory considerations associated with strategic initiatives.
• Assist with broader corporate legal matters and special projects as needed.

Qualifications

• J.D. from an accredited law school and active Illinois bar admission.
• 8-15 years of relevant legal experience
• Significant experience handling sophisticated M&A, investments, joint ventures, strategic partnerships, and other complex corporate transactions.
• Large law firm, private equity, corporate development, or public company transactional experience preferred.
• Strong drafting, negotiation, and deal execution skills.
• Experience advising senior executives and business stakeholders.
• Knowledge of corporate governance, contract law, and transactional structures.
• Financial services or other highly regulated industry experience is a plus.
