Associate Attorney

A nationally recognized plaintiff-side law firm is seeking a Corporate Governance Associate to join its growing Delaware office. This is an exceptional opportunity for an attorney who is passionate about Delaware corporate law and wants to work on sophisticated shareholder litigation, corporate governance disputes, and appraisal actions before the Delaware Court of Chancery. You'll work alongside highly respected litigators on precedent-setting matters involving fiduciary duties, mergers and acquisitions, shareholder rights, and corporate governance issues. This position offers significant hands‑on responsibility, direct partner mentorship, and a clear path for long‑term career growth. What You’ll Do Represent clients in complex corporate governance and shareholder litigation. Draft complaints, motions, briefs, and legal memoranda. Conduct legal and factual research on complex Delaware corporate law issues. Manage written discovery, document review, and privilege analysis. Prepare deposition notices, document requests, interrogatories, and requests for admission. Prepare for and attend depositions, mediations, hearings, and trials. Assist with trial strategy and settlement negotiations. Work closely with partners on Delaware Court of Chancery matters from inception through resolution. Qualifications J.D. from an accredited U.S. law school. Approximately 2-5 years of litigation experience (Class of 2023-2024 preferred). Experience with Delaware Court of Chancery matters strongly preferred. Experience handling shareholder derivative litigation, fiduciary duty disputes, corporate governance litigation, securities litigation, or other complex commercial litigation. Excellent legal research, writing, and analytical skills. Strong interpersonal and communication skills. Ability to manage multiple priorities in a fast‑paced litigation environment. Admitted to practice in at least one U.S. jurisdiction. Delaware Bar admission is a plus but not required. Preferred Experience Delaware Court of Chancery litigation. Complex commercial litigation.
