Job Overview The Contract Conformance Specialist IV provides senior-level Supply Chain Management (SCM) Contracts Center support for a broad range of supplier contracting activities across the client organization. This role is responsible for drafting, reviewing, negotiating, and finalizing contractual terms using approved templates, established legal positions, documented precedents, and applicable policy requirements. The Contract Conformance Specialist IV supports agreement creation, supplier redline negotiations, contract type selection guidance, supplier onboarding terms and conditions acceptance, and contract execution readiness. Working closely with SCM, Legal, Contract Owners, Business Units, and suppliers, this position delivers consistent, risk-informed, compliant, and efficient contracting outcomes while ensuring adherence to governance requirements and best practices. The successful candidate will operate independently on complex and business-critical contracting matters, exercising sound judgment, stakeholder management, and risk assessment capabilities to support organizational objectives and supplier relationships. Key Responsibilities Independently draft, review, revise, and negotiate complex commercial agreements, including EPC agreements, service agreements, supplier agreements, and other commercial contract types. Review supplier redlines and prepare practical, risk-informed responses using approved templates, alternate clauses, historical precedents, and legal guidance. Facilitate supplier negotiations on contractual terms and conditions within established risk parameters and governance requirements. Escalate non-standard terms, material deviations, high-risk positions, or significant business impacts to Legal and SCM leadership as appropriate. Advise SCM and business stakeholders on contract type selection by evaluating scope, risk profile, contract value, inspection requirements, business needs, entity considerations, joint venture obligations, and applicable procurement guidance. Coordinate input from Buyers, Category Managers, Contract Owners, Business Units, Legal, Risk, Insurance, Safety, Tax, and other stakeholders to resolve contract issues and align positions prior to supplier engagement. Engage stakeholders to confirm scope, urgency, value, risk acceptance, contract ownership, legal entity requirements, and operational considerations necessary to support contract development and negotiations. Document business decisions, legal feedback, negotiation rationale, approved deviations, and status updates within contract management systems to support auditability, reporting, and knowledge sharing. Create, maintain, and manage contract records in Oracle and other designated systems, including contract numbers, draft records, execution status, uploads, and contract lifecycle documentation. Support handoff activities to Buyers or SCM teams for purchase order issuance, master agreement release, or contract execution processes. Identify recurring contracting issues, supplier negotiation trends, template gaps, process inefficiencies, and opportunities for contract standardization and continuous improvement. Support the development and enhancement of master agreements, contract playbooks, alternate clause libraries, and intake guidance processes. Promote consistent application of approved contract language, policies, procedures, governance frameworks, and contracting best practices. Manage multiple contracting activities simultaneously while maintaining accurate status reporting, stakeholder communication, and prioritization of competing deadlines. Provide technical guidance, process support, and mentorship to Contracts Center team members as required. Qualifications University degree, paralegal diploma, or an equivalent combination of education and related experience. Minimum seven (7) years of progressively responsible experience in supply chain management, contract management, procurement, commercial contracting, legal operations, or in-house paralegal functions. Experience within energy, utilities, oil and gas, construction, engineering, industrial services, or similar regulated industries is preferred. Demonstrated experience drafting, reviewing, and negotiating complex supplier agreements and contractual redlines using approved templates, fallback language, and established negotiation parameters. Strong understanding of commercial contracting principles, including indemnity, limitation of liability, insurance, warranty, confidentiality, assignment, termination, payment terms, scope requirements, entity considerations, and purchase order terms. Ability to assess scope, value, risk profile, business requirements, contract type guidance, and policy requirements to determine appropriate contracting strategies. Strong knowledge of contract governance, procurement practices, supplier relationship management, and risk mitigation principles. Advanced written and verbal communication skills with the ability to explain contractual concepts clearly and effectively to suppliers and business stakeholders. Strong analytical, organizational, and problem-solving skills with exceptional attention to detail and accuracy. Demonstrated ability to exercise sound judgment and make risk-informed decisions in complex contracting situations. Ability to manage multiple priorities, urgent requests, competing deadlines, and stakeholder expectations in a fast-paced environment. Proficiency with Microsoft Office Suite, SharePoint, Microsoft Teams, Adobe Acrobat, electronic signature platforms, and enterprise systems such as Oracle. Experience maintaining contract records, workflow management tools, status tracking systems, and audit-ready documentation. Professional certifications in contract management, procurement, supply chain management, paralegal studies, or commercial contracting are considered an asset. Experience with energy infrastructure contracting, joint ventures, supplier onboarding terms, contract playbooks, alternate clause libraries, negotiation trend analysis, and process improvement initiatives is preferred.
