Corporate Associate

A leading global law firm is seeking a talented Mid-Level Corporate M&A Associate to join its sophisticated corporate practice. This is an excellent opportunity for an attorney who is looking to work on complex domestic and cross-border transactions while collaborating directly with experienced partners and high-profile clients across a variety of industries. The ideal candidate will have substantial experience advising clients on mergers and acquisitions, private equity transactions, strategic investments, and general corporate matters. Responsibilities Represent public and private companies, private equity sponsors, and investors in mergers, acquisitions, divestitures, and joint ventures. Draft, review, and negotiate purchase agreements, merger agreements, operating agreements, shareholder agreements, and ancillary transaction documents. Conduct and manage due diligence reviews and coordinate transaction processes. Advise clients on corporate governance, entity formation, and general corporate matters. Manage multiple deal timelines and communicate effectively with clients, opposing counsel, and transaction teams. Work closely with partners on complex transactional matters and client development initiatives. Qualifications J.D. from an accredited law school with strong academic credentials. Licensed and in good standing in the relevant jurisdiction or eligible for admission. 3-6 years of corporate transactional experience at a reputable law firm. Meaningful experience handling M&A transactions from letter of intent through closing. Strong drafting, negotiation, and analytical skills. Exceptional written and verbal communication abilities. Ability to thrive in a fast-paced, collaborative environment. Preferred Experience Private equity transactions. Venture capital and growth equity investments.
