Capital Markets Mid-Level Associate – New York or Houston Location: New York, NY | Houston, TX Experience: 3–6 Years PQE | Capital Markets & Securities A top-tier corporate team is seeking a mid-level Capital Markets Associate (3–6 years PQE) with experience in public and private debt and equity offerings, SEC reporting, and corporate governance matters. This role offers hands‑on exposure to IPOs, follow‑on offerings, PIPEs, mergers & acquisitions, and advising public company clients on day‑to‑day governance and compliance. Key Responsibilities Lead and support public and private capital‑raising transactions, including IPOs, follow‑on offerings, and PIPE deals Draft and negotiate offering documents and corporate agreements Advise clients on SEC compliance, corporate governance, and reporting obligations Collaborate with internal teams and manage junior associates on transaction execution Who You Are 3–6 years of corporate transactional experience at a large law firm, ideally with a capital markets focus Strong knowledge of Securities Act, Exchange Act, and stock exchange regulations Skilled in drafting and negotiating transactional documents and governance policies Excellent analytical, communication, and drafting skills Admitted to the relevant state bar (NY or TX) Compensation & Benefits Competitive salary (DOE) Discretionary merit bonuses Comprehensive benefits including wellness, family support, 401(k), health coverage, and professional development Interested?
