Job Description

Doral is seeking an Associate General Counsel to join our growing Legal team. Reporting to the General Counsel & Chief Compliance Officer, this individual will provide strategic legal counsel across Doral’s project finance, tax equity, and corporate activities, with a particular focus on structuring, negotiating, and closing complex renewable energy transactions.

This position is fully remote; however, candidates must reside and be legally authorized to work within the United States and be willing to travel on a limited basis as needed.

Responsibilities

• Provide legal and strategic advice on project debt, tax equity, and general corporate matters.

• Structure, negotiate, and close construction and term debt facilities and tax credit monetization transactions, including tax equity partnerships, tax credit transfers, and hybrid structures.
\n
• Draft and negotiate key transaction documents, including financing agreements, security documents, guarantees, depository agreements, intercreditor agreements, tax equity partnership agreements, tax credit purchase agreements, and membership interest purchase agreements.
\n
• Draft and negotiate various general corporate and commercial agreements on behalf of the Company.
\n
• Manage transaction due diligence and coordinate cross-functional teams across relevant disciplines.
\n
• Serve as a primary legal point of contact for the Finance team throughout the transaction process.
\n
• Provide practical, business-oriented legal guidance while identifying and mitigating potential legal and transactional risks.
\n
• Build and maintain strong working relationships with employees at all levels throughout the Company.
\n
• Maintain appropriate confidentiality and discretion when handling sensitive legal and business matters.

Required Skills and Qualifications

\n
• Juris Doctor (JD) from an accredited law school.
\n
• Active membership in good standing with at least one U.S. state bar.
\n
• Minimum of 5 years of relevant transactional legal experience, including project finance, tax equity, renewable energy finance, or related corporate transactions.
\n
• Proficiency in drafting and reviewing debt financing and tax equity documents and general commercial contracts.
\n
• Strong command of tax equity structures and partnership tax concepts, with familiarity with prevailing market terms.
\n
• Significant experience reviewing title work and ALTA/NSPS surveys.
\n
• Experience in renewable energy, infrastructure, project finance, or a related industry strongly preferred.
\n
• Ability to work independently while collaborating effectively across teams and functions.
\n
• Strong analytical and creative problem-solving skills.
\n
• Strong organizational, communication, and time management skills.
\n
• Excellent attention to detail and ability to manage multiple transactions and priorities simultaneously.
\n
• Proficiency in Microsoft Office products, including Word, PowerPoint, Excel, and Outlook.
\n
• Experience with contract lifecycle management tools, such as Ironclad, SpotDraft, or Agiloft, preferred.
\n
• Familiarity with transaction closing software, such as Litera Transact, Legatics, or iManage, preferred.
\n
• Ability to travel on a limited basis as needed.
\n
• Ability to work additional hours as necessary to support transaction timelines and business needs.
