Unlike a traditional transactional practice, our work is 100% fixed fee. We do not bill by the hour, and our attorneys do not track billable time. Our model is built around producing high-quality legal work efficiently, accurately, and consistently.

We work nationally across 14 jurisdictions and regularly partner with sophisticated borrower’s counsel, lender’s counsel, financial institutions, and real estate clients on complex transactions.

We are also a fully distributed firm. Remote work is not a hybrid arrangement or an exception for certain attorneys. Our attorneys and staff work remotely across the country, and our systems, workflows, and technology have been built specifically around operating this way.

WHY THIS ROLE IS DIFFERENT

\n

This position is designed for an experienced commercial real estate attorney who wants to continue working on sophisticated transactions while developing a highly specialized practice.

\n

Instead of managing every component of a transaction, you will focus on one defined area: legal opinions.

\n

\n

• No billable-hour requirement. Your work is evaluated based on quality, accuracy, responsiveness, and execution, not hours recorded.

\n

• No business development requirement. Focus on practicing law rather than building a book of business.

\n

• A highly focused practice. Develop deep expertise in legal opinion work rather than continually shifting among unrelated transactional responsibilities.

\n

• Sophisticated transactions. Work on complex commercial real estate finance matters alongside leading law firms, including many Am Law 100 firms, and some of the most experienced real estate finance attorneys in the industry.

\n

• A true remote environment. The entire firm operates on a distributed basis. You will not be the remote attorney working around an otherwise office-based team.

\n

• Firm-provided technology and systems. We provide the technology, software, workflows, and infrastructure necessary to perform the work remotely and efficiently.

\n

• A small, experienced team. Your work will have a direct impact on the continued development of the firm and our practice.

THE ROLE

\n

As a Mid- to Senior-Level Associate Attorney, you will manage the full lifecycle of legal opinions for sophisticated commercial real estate finance transactions, from initial document review and drafting through negotiation and final delivery.

\n

\n

You will analyze organizational structures, operating agreements, loan documents, organizational documents, and related deal materials to determine the factual and legal basis for the opinions being rendered.

\n

\n

Depending on the transaction, opinion work may include enforceability, entity status, due authorization, bankruptcy authority, non-consolidation, and related commercial real estate finance opinions.

\n

\n

You will work directly with deal counsel and clients, identify outstanding requirements, resolve comments, and move opinion work toward completion in accordance with transaction closing timelines.

\n

\n

KEY RESPONSIBILITIES

\n

• Review and analyze complex commercial real estate loan and organizational documents.

\n

• Draft, revise, and finalize legal opinions for sophisticated real estate finance transactions.

\n

• Manage opinion matters from initial engagement through final delivery.

\n

• Communicate directly with borrower’s counsel, lender’s counsel, clients, and other transaction participants.

\n

• Identify missing documentation, factual issues, and legal issues affecting the opinion.

\n

• Review organizational structures, operating agreements, certificates, resolutions, loan documents, and related transaction materials.

\n

• Respond efficiently to comments and changing closing requirements.

\n

• Manage multiple active matters and competing deadlines while maintaining a high level of accuracy.

\n

• Work collaboratively with other attorneys and members of our remote team.

\n

• Contribute to the continued development of the firm's opinion forms, processes, knowledge base, and internal systems.

\n

\n

REQUIREMENTS

\n

• 5+ years of experience working on sophisticated commercial real estate transactions.

\n

• Significant experience with complex commercial real estate finance transactions.

\n

• 3+ years of experience with CMBS transactions.

\n

• 2+ years of experience drafting and/or reviewing legal opinions.

\n

• Strong understanding of commercial real estate loan documentation and transaction structures.

\n

• Excellent legal drafting, proofreading, analytical, and communication skills.

\n

• Strong organizational skills and the ability to manage multiple matters and closing deadlines simultaneously.

\n

• Ability to work independently within a fully remote environment while communicating proactively with the broader team.

\n

• High attention to detail and a strong commitment to producing accurate, consistent work product.

\n

• Must be licensed and in good standing to practice law in at least one U.S. jurisdiction.

\n

• Able to provide three professional references following the interview process.

\n

Corporate, entity, bankruptcy, and non-consolidation opinion experience is particularly valuable.

\n

COMPENSATION & BENEFITS

\n

• Base Salary: $185,000–$235,000, commensurate with experience.

\n

• Bonus pay.

\n
