As AI continues to reshape technology and human interaction, and legal plays a critical role in navigating evolving regulatory frameworks, we are seeking a hands-on In-House Counsel to lead the company’s U.S. legal function, advise senior leadership and the Board, and support responsible business expansion across jurisdictions.

The role:

We are seeking a hands-on, strategic In-House Counsel to own the company’s U.S. legal function while collaborating closely with international teams. This role combines public-company legal matters, corporate governance, securities and SEC compliance, commercial contracts, and broader legal and regulatory matters.

This role requires significant experience working within a publicly traded company, including hands-on experience with SEC reporting, securities compliance, public disclosures, and Board governance. You will work closely with the CEO, CFO, Board, and executive leadership team, providing practical, business-oriented legal advice and helping the company navigate legal risk while supporting its growth objectives.

Key Responsibilities:

• Advise the CEO, CFO, Board, and executive leadership team on corporate, securities, governance, commercial, and regulatory matters.
\n
• Lead and support SEC reporting, securities compliance, public disclosures, and Board governance, including 10-Ks, 10-Qs, 8-Ks, proxy matters, and Section 16.
\n
• Draft, review, and negotiate SaaS, enterprise, data licensing, vendor, partnership, and other commercial agreements.
\n
• Advise on privacy, data protection, AI regulations, intellectual property, employment, and other legal matters.
\n
• Support M&A transactions and post-acquisition integration.
\n
• Partner with Finance, Sales, HR, Product, Engineering, and other teams to provide practical, business-oriented legal advice.
\n
• Manage outside counsel and build efficient legal processes, workflows, and templates for a lean legal function.

Qualifications:

\n
• JD from an accredited U.S. law school; admitted to practice in at least one U.S. jurisdiction.
\n
• 5+ years of legal experience, including substantial in-house experience.
\n
• 3+ years of in-house experience at a publicly traded company, including hands-on SEC reporting, securities compliance, public disclosures, and corporate governance.
\n
• 2+ years of direct experience with 10-Ks, 10-Qs, 8-Ks, proxy matters, Section 16, and other securities requirements.
\n
• 3+years of experience working directly with a Board of Directors, CEO, CFO, and executive leadership team.
\n
• 2+ years of commercial contracting experience, preferably within SaaS, AI, technology, or data-driven businesses, with additional experience in privacy, IP, employment, regulatory, or M&A matters.
\n
• Strong business judgment, communication, and negotiation skills, with the ability to work independently, operate hands-on in a lean legal function, and determine when to involve outside counsel.
