Corporate Transactional Attorney

Ascension Global Staffing & Executive Search is partnering with a well-regarded law firm in Coral Gables to find a Corporate Transactional Attorney to join its growing corporate practice.

This role is a strong fit for a business-minded attorney who enjoys structuring and closing deals, advising clients through every stage of growth, and working directly with partners and decision-makers. The firm represents a dynamic mix of domestic and international clients, including privately held companies, family-owned businesses, investors, and emerging enterprises, many with ties to Latin America.

The selected attorney will take meaningful ownership of transactions from term sheet through closing, with a clear path for professional growth.
Key Responsibilities

• Draft, review, and negotiate a broad range of corporate and commercial agreements, including purchase agreements, operating agreements, shareholder agreements, joint venture agreements, and commercial contracts.
• Represent buyers and sellers in mergers, acquisitions, asset and stock purchases, and other strategic transactions.
• Support private equity, venture capital, and private placement financings, including preparing offering and investment documents.
• Manage due diligence, prepare disclosure schedules, and coordinate closing checklists and deliverables.
• Advise clients on entity formation, corporate governance, restructurings, and day-to-day general corporate matters.
• Prepare board and member resolutions, consents, and other corporate governance documents.
• Coordinate with tax, real estate, employment, and other specialists on multidisciplinary transactions.
• Communicate directly with clients and opposing counsel, and help supervise and mentor junior associates and paralegals.

Required Qualifications

• J.D. from an ABA-accredited law school.
• Active member in good standing of The Florida Bar.
• 5+ years of corporate transactional experience at a law firm, with substantive M&A experience.
• Strong drafting and negotiation skills, with the ability to independently prepare transaction documents.
• Experience managing deals and due diligence with limited supervision.
• Excellent judgment, attention to detail, and the ability to explain legal issues in practical business terms.
• Ability to manage multiple transactions and deadlines in a fast-paced environment.

Preferred Qualifications

• Fluency in Spanish (written and spoken), or Portuguese, for work with Latin American clients and counterparties.
• Experience with cross-border transactions and international corporate structures.
• Background in private equity, venture capital, or emerging company representation.
• Experience at an AmLaw 200 or well-regarded regional or boutique firm.
• An existing network or interest in developing business in the South Florida market.
