About the Role

The Company is seeking an Associate General Counsel and Compliance Officer with a focus on securities and public company matters. The successful candidate will be responsible for the preparation, review, and management of the company's SEC filings, ensuring compliance with disclosure obligations, and supporting capital markets activities. This role also involves serving as the designated Compliance Officer, overseeing the maintenance and enforcement of enterprise-wide policies. The ideal candidate will have a J.D. with active bar membership, at least 5 years of securities and capital markets experience, and a strong working knowledge of relevant regulations. While not mandatory, an interest in bitcoin and digital assets, as well as prior exposure to similar companies, is a plus. Key responsibilities for this position include advising on securities law compliance, supporting board and committee governance, and monitoring regulatory changes. The role requires a candidate with excellent judgment, strong organizational skills, and the ability to work independently.
