Senior Corporate/Commercial Law Clerk FDH Lawyers LLP is seeking an experienced Senior Corporate/Commercial Law Clerk to join our Burlington office. We are looking for a highly organized, detail-oriented professional who thrives in a collaborative, fast-paced legal environment and is committed to delivering exceptional client service. Key Responsibilities Preparing and filing articles of incorporation, articles of amendment, amalgamations, continuances, dissolutions, and other corporate filings. Maintaining Ontario and federal minute books, including annual maintenance, corporate record updates, and extra-provincial registrations. Preparing organizational and annual resolutions, shareholder and director resolutions, and related corporate documentation. Registering business names and conducting corporate due diligence searches. Assisting with asset and share purchase transactions, corporate reorganizations, rollover transactions, secured financing transactions, and other corporate/commercial matters. Reviewing and organizing closing documentation and managing transaction closings. Liaising professionally with clients, lawyers, government agencies, and other stakeholders. Managing multiple files simultaneously while meeting deadlines and maintaining a high degree of accuracy and attention to detail. Qualifications 10+ years of experience as a Corporate/Commercial Law Clerk in a law firm environment. Strong knowledge of the Ontario Business Corporations Act, Canada Business Corporations Act, and related corporate procedures. Exceptional organizational, time management, and problem-solving skills. The ability to work independently while also contributing effectively as part of a team. Excellent verbal and written communication skills.
