Head of M&A

Job Title: Head of M&A Company: Solen Software Group Reports to: CEO Employment Type: Full-time About the role This is a crucial role on the Solen team – managing the mission‑critical aspect of the business: M&A. You will be involved in aspects of the entire deal lifecycle, from thesis development to post‑close support of operating companies, with specific responsibility for transaction underwriting and closing. You will be the key point of contact for business owners, brokers, and third parties, managing all aspects of underwriting, due diligence, deal negotiations, and deal execution. Key Responsibilities Develop Solen’s overall M&A strategy Work collaboratively with Solen’s sourcing team to identify, map, and perform outreach to attractive markets Develop expertise and credibility with founders in target verticals Work collaboratively with the sourcing team to develop and achieve ambitious KPIs Meet with founders and quickly understand their business fundamentals Collect needed information to prepare a detailed financial model for valuation and structure Develop, negotiate, and execute LOIs Create a diligence plan and drive the end‑to‑end due diligence process Produce elite diligence supporting materials (deal decks, models, etc.) Drive conversations with management, customers, competitors, and industry experts to build a 360 view of the company Manage third‑party vendors for key diligence aspects (QoE, technology, insurance, legal, etc.) Oversee the drafting and negotiation of the purchase agreement in partnership with Legal Identify and secure favorable debt financing terms through a broad range of lenders Develop and negotiate employment agreements for key employees and launch executive searches as needed Collaborate with management to develop a post‑transaction business plan Support the businesses’ success in collaboration with the CEO, Operating Partners, and company management team Post‑Transaction Support Work collaboratively as needed with the CEO, Operating Partners, and company management team to support business success. Key Requirements 7+ years of experience in software M&A Deep understanding of all aspects of the deal‑making process Strong financial modeling and presentation development skills Experience managing third‑party vendors (quality of earnings, tax, legal, etc.) Executive presence and prior experience interacting directly with founders, investors, bankers, and intermediaries Prior experience raising debt in a software context is a plus Prior experience in investment banking or management consulting is highly desirable Advanced Excel, written, and verbal communication skills Fluency in English is mandatory Attributes That Make You a Good Fit Extensive experience investing in profitable software businesses Financial modeling is second nature, producing appropriate detail without excessive complexity Creative and thoughtful deal structuring mindset that seeks win‑win outcomes Systematic thinker developing scalable tools, frameworks, and processes for the M&A engine #J-18808-Ljbffr Solen Software Group
