Director, Assistant General Counsel, Corporate - Long Beach, CA or Washington, DC (995-SLS)

Our client, a commercial orbital launch company that is building rockets to serve today’s needs and tomorrow’s breakthroughs, is seeking to add an exceptional Director, Assistant General Counsel, Corporate to its growing legal team.

This attorney will report to the General Counsel directly, and will lead the company’s corporate legal department. They will work with the Chief Financial Officer, President, Executive Team, and Board of Directors to advise on and support capital markets and financing, corporate governance, securities law, equity, and investor relations. As the corporate function matures, this role offers meaningful opportunity to participate in and help lead select investor relations initiatives, partnering closely with the CFO and finance team on investor communications and engagement strategy. The role will be responsible for creating a foundation of standards and practices that enable effective and sound scaling of the corporate legal function to support the company’s rapid growth. This is an on-site role based in Long Beach, CA or Washington, DC.

• Capital Markets & Financing:
  • Advise on financing strategies and structures, including venture capital rounds, debt financing, private placements, and eventual public market readiness
  • Manage due diligence, draft agreements and all other required documentation, manage closing
• Corporate Governance: Advise on board-level matters, committee structures and operations, stockholder relations, and compliance with corporate governance best practices and evolving regulatory requirements
• Securities Law & Compliance: Advise on securities law implications of transactions and activities.
• Corporate Structuring: Advise on optimal corporate structures for acquisitions, investments, and operational entities.
• Shareholder & Investor Relations: Support and help lead elements of investor communications and investor relations; prepare investor documentation, advise on shareholder agreements, and manage equity holder concerns.
• Equity: Advise on equity plan design, administration, and documentation.
• M&A: Lead and support the legal aspects of acquisitions, divestitures, and strategic partnerships.
• Team Leadership: Manage and supervise the Senior Corporate Paralegal, overseeing the following:
  • Corporate records and entity organizational charts
  • Board and stockholder consent, resolutions, and notices
  • Foreign qualifications, annual state filings, registered agent changes, and other corporate filings
  • Closing checklists and data rooms
  • Administration of the equity incentive plan and related platform
• Commercial Contracts: Review and negotiate material commercial agreements that have significant strategic or financial implications.

• JD from an accredited law school, active bar membership in at least one U.S. state, and 7+ years of post-JD experience (including 4+ years at a law firm).
• Demonstrated experience in complex capital markets and financing transactions from origination through closing and strong background in corporate governance and securities law.
• Strong corporate and commercial judgment, and the ability to develop strategic approaches and lead novel, high-stakes negotiations.
• Systems thinker who thrives in a fast-paced, innovative environment and can design scalable processes.
• Motivated self-starter who can lead cross-functional projects independently.

• Track record advising on venture capital financings, growth equity investments, or debt financing.
• Prior work at a top-tier corporate law firm with strong M&A and capital markets practice.
• Familiarity with board-level legal and governance issues.
• Interest in, or experience supporting, investor relations, investor communications, or shareholder engagement.
• Experience in the technology, aerospace, or capital-intensive industries
• Proven ability to manage multiple transactions and priorities simultaneously in a dynamic environment

Our client’s legal team is nimble, entrepreneurial, and deeply collaborative. Unique to their fast-paced, high-growth environment, the team works across many departments to support the company’s ambitious goals. The company is in a formative phase, with enough structure to build from and still plenty of room for you to define what’s next.

The current targeted base salary for this position ranges from $245,000 to $367,000, plus equity. Actual compensation is determined based on several factors, including a candidate’s qualifications and years of directly relevant experience.
