Litigation Senior Attorney - M&A

Job Summary DLAPiper is seeking a Senior Attorney to join our Litigation group, Business and Commercial subgroup. The position is open to the following offices: Atlanta, Baltimore, Boston, DC, Miami, NewYork, Philadelphia, Raleigh, ShortHills, and Wilmington. Kind of Practice Admitted to practice in the jurisdiction in which you are applying. Minimum of 6 years’ experience in M&A post‑closing indemnity disputes and/or representations and warranty insurance disputes. Experience with M&A transaction documentation and damages calculations. Responsibilities Negotiate and draft property management and development agreements. Negotiate complex LLC operating agreements or limited partnership agreements. Perform due diligence activities, including title and survey reviews, and review easements, REAs, CCRs, leases, and financial documents. Review entity documents for authority matters and assume responsibility for title and survey due diligence review. Lead multi‑property due diligence. Draft and negotiate confidentiality/access agreements, brokerage agreements, and purchase and sale agreements for sellers. Draft and negotiate closing documents such as escrow letters, deeds, assignments, and bills of sale. Prepare closing documents, including escrow letters, mortgage/deed of trust, leasing brokerage agreements, and office and retail leases. Negotiate senior secured loan documents, mezzanine loan documents, and construction loan documents. Draft zoning opinions for proposed developments and perform regulatory analysis for existing developments. Negotiate credit enhancements such as guarantees and letters of credit. Provide leadership to and manage a team of business professionals, including coaching, mentoring, and professional development. Provide performance feedback on a regular basis. Benefits Compensation range: $275,000 – $425,000 per year, dependent on market location and applicant qualifications. Medical, dental, vision insurance. 401(k) plan.
