About the Role:

A highly respected regional law firm is seeking a motivated and accomplished Corporate Associate Attorney to join its sophisticated and collegial corporate practice in Manchester, New Hampshire.

The successful candidate will advise businesses and entrepreneurs across a broad range of corporate matters, including mergers and acquisitions, financing transactions, commercial contracts, entity formation, and emerging growth company matters. Working alongside experienced corporate attorneys, you will support clients throughout the business lifecycle while developing strong client relationships and expanding your transactional expertise.

Key Responsibilities:

• Advise clients on general corporate and business matters throughout the business lifecycle.
• Handle mergers and acquisitions, including asset and stock transactions, due diligence, negotiations, and transaction documentation.
• Advise clients on debt and equity financing transactions, including venture capital, convertible debt, and bank financings.
• Assist with private offerings and related state and federal securities law matters.
• Advise emerging growth companies and startups on corporate and commercial matters.
• Assist with entity formation, corporate governance, and organizational matters.
• Draft, review, and negotiate commercial agreements and other business contracts.
• Conduct legal research and provide practical, commercially focused legal advice.
• Manage transactional matters from initial client consultation through closing and completion.
• Communicate effectively with clients, opposing counsel, financial institutions, investors, and other transaction professionals.
• Build and maintain strong client relationships while identifying opportunities to grow a personal practice.
• Collaborate with attorneys across the firm to deliver comprehensive legal solutions.
• Contribute to business development, networking, and client relationship initiatives.

Required Qualifications:

• J.D. from an accredited law school.
• Active admission to the New Hampshire Bar and membership in good standing.
• Massachusetts Bar admission is a plus.
• Minimum 3 years of relevant corporate law experience within a sophisticated corporate practice.
• Strong understanding of corporate transactions, mergers and acquisitions, entity formation, and corporate governance.
• Experience with venture capital financing, convertible debt, bank financing, and other debt and equity transactions.
• Knowledge of private offerings and applicable state and federal securities laws.
• Experience drafting, reviewing, and negotiating commercial contracts.
• Strong legal research, writing, analytical, negotiation, and problem-solving skills.
• Excellent interpersonal and communication skills with the ability to manage internal and external client relationships effectively.
• Ability to manage multiple transactions, priorities, and deadlines in a fast-paced environment.
• Strong business judgment and the ability to provide practical, commercially focused legal advice.
• Ability to work independently while collaborating effectively with attorneys and other professionals.
• Entrepreneurial mindset and genuine interest in developing client relationships and building a legal practice.
• Strong attention to detail, professionalism, and commitment to delivering high-quality legal services.
