Corporate Associate Opportunity
Seeking a Corporate Associate opportunity for an NH-licensed attorney with 3+ years of sophisticated corporate experience, particularly in M&A, financings, securities, commercial contracts, and emerging growth companies.
We are seeking a highly motivated Corporate Associate to join a respected and collaborative corporate practice. The attorney will advise businesses across the full corporate lifecycle, with significant exposure to M&A, corporate transactions, financings, commercial contracts, and emerging growth companies.
Responsibilities

Advise clients on general corporate and business matters.
Handle mergers and acquisitions, including asset and stock transactions, due diligence, and negotiations.
Support debt and equity financings, including venture capital, convertible debt, and bank financings.
Draft, review, and negotiate commercial agreements and contracts.
Advise startups and emerging growth companies throughout their business lifecycle.
Assist with entity formation, private offerings, and corporate transactions.
Counsel clients regarding applicable state and federal securities laws.
Develop and maintain strong client relationships.
Collaborate with experienced attorneys while having the opportunity to build and grow an individual practice.
Qualifications

Juris Doctor (J.D.) from an accredited law school.
Active New Hampshire Bar admission in good standing; Massachusetts Bar admission is a plus.
Minimum 3 years of relevant corporate law experience within a sophisticated corporate practice.
Strong knowledge of corporate transactions, entity formation, venture capital financing, and private offerings.
Understanding of state and federal securities laws.
