We are seeking an experienced attorney who enjoys solving complex business problems, negotiating transactions, and developing long-term relationships with clients. This position is ideal for someone who wants to move beyond isolated legal work and become a strategic advisor to business owners.

This position is ideal for an attorney who enjoys a client-facing practice, takes ownership of their matters, and is motivated to maintain a productive practice with an annual expectation of 1,800 billable hours.

What You'll Do

Business Transactions

• Draft, review, and negotiate a wide variety of commercial agreements.
• Structure and document business acquisitions, asset purchases, stock purchases, and business sales.
• Conduct legal due diligence for mergers, acquisitions, financing transactions, and other business matters.
• Draft letters of intent, purchase agreements, disclosure schedules, and closing documents.
• Coordinate transaction closings and post-closing matters.

Corporate & Business Planning

• Form and organize LLCs, corporations, partnerships, and other business entities.
• Prepare operating agreements, shareholder agreements, partnership agreements, bylaws, and corporate resolutions.
• Advise clients on entity structure, governance, ownership transitions, and business planning.
• Assist with corporate restructurings, conversions, mergers, and dissolutions.

Outside General Counsel Services

• Serve as outside general counsel for closely held businesses.
• Advise clients on legal issues affecting their day-to-day operations.
• Identify legal risks and provide practical, business-oriented solutions.
• Collaborate with clients' accountants, financial advisors, bankers, and other professionals.
• Build long-term advisory relationships with business owners.

Client Service & Team Collaboration

• Deliver exceptional client service with professionalism, responsiveness, and attention to detail.
• Manage multiple matters while communicating proactively with clients and colleagues.
• Collaborate closely with attorneys, paralegals, and administrative staff.
• Maintain accurate matter documentation and timely time entries.

Qualifications

• Juris Doctor (J.D.) from an accredited law school.
• Active member in good standing with the Utah State Bar (or eligible for admission).
• Three or more years of experience practicing business, corporate, or transactional law.
• Experience drafting and negotiating complex business agreements.
• Strong analytical, negotiation, and problem-solving skills.
• Excellent written and verbal communication abilities.
• Ability to explain sophisticated legal concepts in practical business terms.
• Highly organized with exceptional attention to detail.
• Strong sense of ownership, professionalism, and accountability.
