Direct Counsel is seeking an experienced Business & Corporate Transactions Attorney with 8+ years of experience to join a sophisticated transactional practice in San Francisco or Oakland, California .

This position is ideal for a senior transactional attorney with substantial experience handling business formations, corporate structuring, buy-sell arrangements, entity conversions, and asset purchase transactions . Experience with commercial real estate transactions is a plus but is not required.

Location: San Francisco or Oakland, California Mainly Remote - Must reside in California! Responsibilities

• Advise clients on sophisticated business and corporate transactional matters .
• Structure and document business entities and ownership arrangements.
• Handle the formation and structuring of:
  • Limited liability companies (LLCs)
  • Partnerships
  • Other business entities
• Draft, review, and negotiate buy-sell agreements and related ownership documents.
• Advise clients regarding entity conversions and restructurings .
• Draft and negotiate asset purchase agreements and related transaction documents.
• Counsel clients throughout the lifecycle of business transactions.
• Independently manage sophisticated transactional matters while collaborating with other attorneys as appropriate.
• Provide practical and strategic advice regarding transaction structure, documentation, and execution.

Qualifications

• 8+ years of business and corporate transactional experience.
• Active membership in good standing with the California State Bar .
• Significant experience with LLC and partnership formations.
• Experience drafting and negotiating buy-sell agreements .
• Experience handling entity conversions .
• Strong experience drafting and negotiating asset purchase agreements .
• Excellent transactional drafting, negotiation, analytical, and organizational skills.
• Ability to independently manage complex transactions and communicate effectively with clients.

Preferred Experience

Commercial real estate transactional experience is beneficial but not required , including:

• Commercial leases
• Purchase and sale agreements
• Ground leases
• Easement agreements

Compensation & Benefits

• Base Salary: $207,000–$225,000 , depending on experience and qualifications.
