Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for a fulltime Interim Associate General Counsel, Capital Markets.

Overview : A leading financial institution is currently seeking a capital markets attorney to serve as an Associate General Counsel as a part of the Investment Banking and Capital Markets legal team. The Investment Banking and Capital Markets legal team provides legal services related to our client’s Securities’ investment banking business, including debt and equity capital markets, M&A advisory, equity and fixed income sales and trading, and equity research.

Company: Large Financial Institution

\n

\n

Experience: 5+ years as in-house counsel and/or Big Law

\n

\n

Location: 5-Days per week in-office in Charlotte

\n

\n

Key Responsibilities

\n

\n
• Provide significant internal client legal support day to day with IPO’s and Follow-on Equity Offerings
\n
• Responsible for assessing legal risk, providing legal advice, and/or assisting in resolving legal problems which may represent potential exposure to the company.
\n
• Keeps abreast of legislation, regulations, and case law developments that affect the company and the banking industry and capital markets.
\n
• May prepare and/or review documents and other instruments, represent the company in transactions, perform legal research and analysis, and maintain files and records.
\n
• Identify need for and when necessary, select, engage, and direct outside counsel to undertake specific matters.
\n
• Serve as an individual contributor but may provide ad hoc work direction and supervision to other legal staff regarding support on active cases or projects.
\n

Required Qualifications

\n

\n
• Juris Doctor (JD) and active bar membership in good standing.
\n
• 3+ Years in Big Law, at same law firm, handling securities transactions (IPO’s or Follow-on Equity Offerings)
\n

\n

\n

Preferred Qualifications

\n

\n
• Corporate securities experience at a large law firm, with substantial experience in equity capital markets
\n
• Some experience with M&A
\n
• Comfortable working in the entrepreneurial environment of a large, complex corporation
\n

\n

Individual compensation offered for this position within the pay range will depend on many factors, including qualifications, skills, relevant experience, job knowledge, geographic location, internal equity, and other pertinent job-related factors.
