Direct Counsel is representing an AmLaw 100 firm seeking a Capital Markets Associate to join its Corporate Practice Group in Miami, FL . This is a full-time, onsite position offering competitive compensation and a comprehensive benefits package .

Position Overview:
The firm is seeking a mid-level associate with 2–6 years of experience handling complex corporate transactions, with an emphasis on capital markets matters . This is an opportunity to work closely with leading attorneys on sophisticated U.S. and cross-border securities offerings for clients across diverse industries.

Responsibilities:

• Manage and support capital markets transactions, including public and private securities offerings, IPOs, SPACs, PIPEs, and REIT-related work.

• Draft and negotiate transactional and disclosure documents such as registration statements, offering memoranda, and related corporate agreements.

• Lead due diligence teams and coordinate all aspects of deal execution.

• Advise clients on corporate governance, securities law compliance, and disclosure obligations.

• Collaborate effectively across practice groups and mentor junior attorneys.

Qualifications:

• 2–6 years of experience in capital markets or related corporate transactions.

• Strong academic background and exceptional writing, analytical, and communication skills.

• Proven ability to manage a high-volume, fast-paced workload with attention to detail.

• Experience handling complex securities transactions and corporate governance matters.

• Admission to the Florida Bar or eligibility for admission required.
