Position Summary: We are seeking a skilled and business-savvy Corporate Counsel to join our General Counsel Team, supporting the General Counsel and Assistant General Counsel. The ideal candidate will have 5–8 years of legal experience, with a strong emphasis on business law, contract drafting and review, and legal research. This role will support the firm’s legal operations, ensure corporate compliance, and facilitate business transactions while serving as a strategic legal advisor across departments.Key Responsibilities:Business Law and Legal Advisory: Draft, review, and negotiate a wide range of commercial contracts and legal documents.Provide legal analysis and guidance on business law matters, regulatory issues, and risk mitigation.Conduct legal research and prepare memoranda on complex legal topics affecting the firm’s operations.Corporate Compliance: Develop and maintain corporate governance policies and compliance programs.Monitor changes in laws and regulations and advise leadership on necessary updates.Prepare, update and maintain corporate records, including board minutes, resolutions, and entity filings.Transactional Work: Support legal aspects of mergers, acquisitions, joint ventures, and other strategic transactions.Conduct and oversee due diligence processes and prepare related reports.Coordinate transaction closings and ensure proper documentation and filings.Communication and Coordination: Serve as a legal liaison between the General Counsel Team and internal departments, external counsel, and regulatory bodies.Provide legal support to finance, HR, and operations teams on compliance, contracts, and internal controls.Assist in the development of internal workflows and process improvements related to legal operations.Qualifications: Education: Juris Doctor (JD) from an accredited law school.Active license to practice law in Texas.Experience: Minimum of 5–8 years of legal experience, preferably in a corporate legal department or law firm setting.Strong background in business law, contract law, and corporate transactions.Skills & Competencies:Exceptional drafting, negotiation, and analytical skills.Strong understanding of corporate governance, compliance frameworks, and regulatory environments.Proficiency in Microsoft Office, legal research platforms, and document management systems.Ability to manage multiple priorities in a fast-paced, evolving environment.Comfort working in an evolving environment with a high level of discretion and professionalism.Interpersonal Skills:Strong written and verbal communication skills, with the ability to convey complex information clearly and professionally.Works effectively in team environments, with strong communication skills and a cooperative mindset.Committed to excellence, with a strong work ethic exemplified by honors in law and a belief that law is a calling, not just a career.Maintains extreme attention to detail in all aspects of legal work, ensuring accuracy and thoroughness.Thrives under pressure, capable of multitasking and meeting tight deadlines without compromising quality.Comfortable navigating change and shifting priorities with a positive attitude.Open to instruction and constructive criticism, continuously seeking growth and improvement.Passionate about learning and legal research, with a deep commitment to staying informed and resourceful.Demonstrates empathy, self-awareness, and professionalism in all interactions.Takes ownership of tasks and proactively seeks ways to add value.Eager to learn and understand new concepts, especially in cross-functional settings.Exercises sound decision-making, especially when handling confidential or complex matters.Additional Desired Attributes:Generalist background, with experience in personal injury, litigation, employment law, intellectual property or other diverse area of law.Experience collaborating with accounting or finance teams, particularly in support of compliance, reporting, or internal controls.Physical Requirements: Office environment with normal business hours necessary to satisfactorily perform job functions. Stationary Position – Must be able to remain in a stationary position up to 50% of the time. Move or Traverse – This position needs to occasionally move about inside the office to access file cabinets, meeting rooms, office machinery, etc. May occasionally ascends/descends the stairs to get to other floors, cafeteria and parking area.Dexterity – constantly operates a computer and other office machinery such as a copy machine/printer. Move, Transport, Position, Put, Install, Remove - Occasionally moves supplies weighing up to 10 pounds for various presentation and event needs.
