Senior Corporate Counsel

Kroll is looking for a Senior Corporate Counsel to provide commercial legal support to its Risk Advisory business in the Americas. As a successful counsel in this role, your major responsibilities include preparing and negotiating client, vendor, product and other related agreements; providing counsel to business and technology leaders; and liaising with others team members regarding intellectual property, technology, cyber security and privacy matters.Day-to-Day ResponsibilitiesProvide commercial legal advice and support to Kroll’s Risk Advisory business in North America (US and Canada), Latin America and Caribbean regions, which includes service lines in investigations, diligence, and compliance, restructuring, expert services and financial services compliance and regulation.Provide business unit stakeholders with general legal support and solutions-focused legal advice on a variety of matters.Draft, review, and negotiate a range of commercial contracts, such as confidentiality agreements, client engagement agreements, master services agreements, vendor agreements, hold harmless letters and RFP documentation.Review, update, and create precedent agreements and legal processes as needed and appropriate.Perform legal research in relation to new or newly applicable legislation and on more specific points of law in the region, as needed.Direct and interface with outside counsel as needed.Build strong relationships with the other lawyers on the team, business unit leadership and with regional and global colleagues.Provide training to business colleagues on applicable legal issues.Essential TraitsAdmitted to practice law in the United States with a minimum of 5+ years’ post qualification experience.Solid law firm training and in-house experience with a regional or global company.Professional, commercial and solution-oriented approach to problem solving and strong collaborative and team ethic is essential.Ability and desire to work both collaboratively and autonomously.Excellent communication and relationship-building skills, both written and oral, with the ability to write with precision and clarity.Hardworking, with demonstrated ability to work well under pressure while continuing to work in an orderly and organized manner.Ability to navigate complex issues and manage risks in an appropriate balance with commercial objectives. Experience with navigating privacy and applicable data protection legislation preferred but not essential.Hybrid.
