Position Summary
The Senior Corporate Counsel provides expert legal advice and counsel to the corporate office in support of business activities and transactions. The Senior Corporate Counsel is key in supporting the negotiation, acquisition, and management of Discount Tire’s real estate portfolio and furthering the long‑term interests of Discount Tire.
Essential Duties and Responsibilities
- Oversee corporate compliance operational objectives by contributing information, review, and providing recommendations.
- Supports the entire real estate lifecycle including the acquisition, development, and management of properties.
- Lead the review and negotiations for a variety of complex commercial transactions including but not limited to reviewing, negotiating and drafting purchase agreements and leases.
- Provides legal advice related to construction and other real estate matters; participates in legal actions and litigation as needed.
- Collaborates with Real Estate Administration, Construction, Facilities, Regions and other attorneys to maintain the value and integrity of our corporate assets, including supporting the lease renewal process; drafting amendments.
- Manages, supports and advises on condemnation actions, disputes with landlords / adjacent property owners, tax matters, common area maintenance (CAM) matters or any other matters affecting real estate.
- Initiates offers and negotiates property deals in collaboration with broker network.
- Reviews and recommends amendments to various documents and agreements, including but not limited to easement agreements, development agreements, restrictive covenants, etc.
- Participates during the escrow process to ensure we are entitled to build and operate a functional Discount Tire / America’s Tire store.
- Researches, recommends and implements updates to standard forms/templates.
- Assists employees or other customers by answering questions related to Real Estate processes, procedures and services.
- Provides recommendations for best practices, policy and process enhancements.
- Completes work in a timely and accurate manner while providing exceptional customer service.
- Provide expert legal advice and counsel to various departments within the corporate office on a wide range of legal matters.
- Champion Mr. Halle’s Five Life Lessons, Discount Tire’s Principles and Standards and collaboration.
- Provide strategic and business-focused problem-solving, with the ability to balance legal risk and business impact.
- Prepare action plans; resolve problems; identify trends; determine system improvements; implement changes.
- Interpret new regulations and laws by reviewing and analyzing proposed and adopted state legislation and regulations.
- Conduct legal research on relevant issues and developments impacting the organization’s operations.
- Coach, mentor and train members of the real estate and legal team.
- Monitor department projects to ensure projects are delivered on time, within budget and to agreed quality level. Monitor and adjust employee workloads.
- Gather, track, and report department attainment of Key Performance Indicators (KPIs) to upper management.
- Ensure Company procedures are followed, including the tracking and publishing of metrics.
- Work collaboratively across departments to identify and resolve risks, conflicts and challenges, recommend resolutions and implement process improvements.
- Stay current on the latest industry technologies, trends, and strategies; bring forward solutions and serve as a Trusted Expert.
- Other duties as assigned.
Qualifications
- A minimum of ten years’ experience advising clients on corporate matters preferred. In‑house counsel experience is preferred.
- Must demonstrate basic knowledge of real estate law and its application in the real estate life cycle process, including a solid understanding of legal terms and contract principles.
- Proficient in Microsoft Office, including Word, Excel and PowerPoint is needed.
- Expert ability to communicate across all levels of the organization, present complex ideas concisely and clearly articulate ideas both verbally and in writing is necessary.
- Excellent analytical, planning and negotiation skills are needed. Excellent interpersonal skills with the expert ability to develop strong relationships with key members of both internal and vendor teams.
- Demonstrated business acumen with an expert knowledge and understanding of business issues, priorities, goals, and strategy is necessary.
- Must be highly organized, extremely detail oriented with strong leadership experience.
- Maintaining confidentiality, treating others with respect and upholding Company values is a key attribute.
- Ability to perform in a fast‑paced, goal oriented, and time sensitive environment.
- The ability to drive organizational transformation; communicates openly and builds consensus with stakeholders.

Educational Requirements
- Juris Doctor (J.D.) law degree from an accredited law school
- Admittance to and continuous Good Standing to at least one State Bar within the U.S.
- A Bachelor’s Degree or higher from an accredited college or university.
- Professional certifications are a plus.
Work Days
Normal work days are Monday through Friday. Occasional Saturdays and Sundays may be necessary.
Work Hours
Normal work hours are 8:00 a.m. to 5:00 p.m. Additional hours may be necessary.
