Job Details

• Advise clients on federal and state securities law compliance
• Prepare and file registration statements, 10-Ks, 10-Qs, 8-Ks, proxy statements, and other disclosures
• Handle private placements, public offerings, reverse mergers, and PIPE transactions
• Guide clients through uplisting and exchange compliance (OTC to NASDAQ/NYSE)
• Counsel issuers, underwriters, and investors in capital markets transactions
• Coordinate annual and special meetings of shareholders and handle proxy matters
• Respond to SEC comment letters and manage SEC/FINRA investigations
• Oversee Regulation D, S, and A+ offerings and related disclosure documentation
• Collaborate with the Corporate department on M&A and related transactions

Looking For:

• J.D. and licensed to practice in Florida
• Minimum 4 years of experience focused on securities law
• Experience advising on 1934 Act reporting and 1933 Act registered and exempt offerings.
• Experience with SEC Reporting and Compliance, Reverse Mergers, venture capital and private equity financings.
• Proven ability to independently manage filings, reports, and transaction execution
