We are seeking an experienced corporate paralegal to support our corporate group across entity maintenance, equity administration, securities filings, and transaction execution. This role is central to how our deals get done: you will maintain cap tables in Carta, keep stock ledgers and corporate records accurate, prepare Form D, Form ID, and 25102(f) filings, run signature collection through DocuSign, and manage data rooms and closing sets so that our attorneys can focus on substantive client work.

The ideal candidate is highly organized, meticulous, and comfortable owning processes from start to finish with limited supervision. Exceptional attention to detail, particularly in document preparation and recordkeeping, is essential, along with sound judgment about when to proceed independently and when to elevate an issue. The role requires strong written and verbal communication skills, including confidence in following up directly with clients and opposing counsel on signatures, closing items, and other outstanding matters. Discretion in handling confidential client and financial information and the ability to remain composed and organized during time-sensitive closings are equally important. Above all, the ideal candidate is someone who notices the missing signature page, the unresolved tracked change, or the stray comment before a document goes out the door.

The current pay range for this position is $46 to $69 dollars per hour, with the annualized amount being approximately $95,000 to $135,000. The compensation offered will be based on a number of factors, including the specific qualifications of the applicant, years of related experience, education, applicable licenses and certifications, and the geographical location from which the applicant will perform the job.

Duties and Responsibilities

Entity Maintenance and Corporate Governance

• Prepare and cut stock certificates
• Maintain stock and option ledgers, recording recent issuances and other equity transactions
• Update and maintain client cap tables in Carta or similar platforms
• Prepare and file annual reports and related state filings
• Order certificates of good standing, certified copies, and other state-issued documents
• Verify and maintain current officer and director information for clients
• Prepare routine consents and resolutions, including option grant approvals and officer/director elections
• Prepare initial drafts of standard entity formation and organizational documents

Securities Filings

• Prepare and submit state securities filings that can be completed online, including California Form 25102(f) notices
• Prepare and file Form D with the SEC and related blue sky notice filings
• Prepare and submit Form ID applications and manage EDGAR access credentials

Transaction Support

• Track signature status across transactions and follow up proactively on outstanding signatures
• Prepare, send, and manage DocuSign envelopes
• Finalize documents for execution, including accepting tracked changes and confirming that all comments, metadata, and internal markups have been removed before circulation
• Collate signature pages with final documents
• Assemble and organize closing sets following transactions
• Order lien searches and compile results for attorney review

Document and Data Management

• Run and prepare redlines and document comparisons
• Convert documents to PDF for distribution to third parties
• Populate and maintain data rooms, including uploading and downloading files as needed

Qualifications

Required

• Paralegal certificate from an ABA-approved or comparable program
• Five or more years of corporate paralegal experience in a law firm setting; candidates with three to four years may be considered where they bring substantive hands-on securities filing and cap table experience
• Working knowledge of corporate formation, equity issuance, and entity maintenance
• Experience preparing and submitting federal and state securities filings, including Form D, Form ID, SEC EDGAR (including EDGAR Next), and California 25102(f) notices
• Proficiency with DocuSign, Microsoft Word (including advanced redlining and metadata handling), Adobe Acrobat, and Excel
• Experience populating and managing virtual data rooms
• Demonstrated ability to manage multiple concurrent matters and deadlines with a high degree of accuracy

Preferred

• Experience supporting venture financings, M&A transactions, or an emerging companies and venture capital (ECVC) practice
• Hands-on experience administering cap tables in Carta or comparable platforms

Working Conditions

Hybrid with the ability to work in a normal office environment as needed.

Physical Requirements
