We are seeking a Corporate Paralegal with at least 3 years of experience to join a dynamic and sophisticated Corporate & Business Group. The ideal candidate should have experience and a strong understanding of paralegal responsibilities related to various corporate and financial transactions, including:
- Drafting ancillary transaction documents, including resolutions, certificates, entity formation documents, state filings, and other governance documents.
- Coordinating due diligence activities, including organizing documents and records, establishing and maintaining virtual data rooms, preparing closing documents, and coordinating closing and post-closing requirements.
- Preparing and maintaining transaction timetables and checklists.
- Preparing and filing annual reports and other periodic compliance filings with federal, state, and local agencies.
- Organizing and maintaining corporate minute books and stock ledgers.
- Conducting online UCC, corporate, and court record searches.
- Preparing and filing UCC financing statements.
- Assisting with federal and state business licensing matters.
- Assisting with all aspects of final transaction closings.
- Minimum 3 years of corporate paralegal experience .
- Experience supporting corporate and financial transactions.
- Strong verbal and written communication skills.
- Excellent organizational and time-management skills.
- Ability to manage multiple projects simultaneously.
- Strong attention to detail.
- Proficiency with Microsoft Office Suite .
- Bachelor's degree and paralegal certificate preferred, or equivalent relevant work experience.
