Corporate Counsel II - M&A

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Corporate Counsel II - M&A based in the United States.

As Corporate Counsel II, you will provide strategic legal guidance across mergers and acquisitions, commercial agreements, and corporate governance matters.
You will play a key role in structuring, negotiating, and executing transactions while helping manage legal and business risk.
The position combines hands-on M&A work with cross-functional collaboration across a sophisticated financial services environment.
You will lead legal due diligence, coordinate with internal stakeholders, and oversee outside counsel when appropriate.
Your ability to research complex legal issues and translate them into practical business advice will be highly valued.
This is a remote opportunity, with a preference for candidates located in Denver, and offers meaningful exposure to high-impact corporate transactions.
The role is well suited to an experienced attorney who brings strong judgment, drafting skills, commercial awareness, and the ability to manage multiple priorities independently.

Accountabilities

• Review, draft, structure, and negotiate agreements related to mergers and acquisitions and other corporate transactions.
• Conduct legal due diligence for M&A transactions and support broader firm-wide due diligence initiatives.
• Partner closely with business leaders and cross-functional stakeholders to provide practical legal guidance aligned with business objectives.
• Assist with the coordination and oversight of outside legal counsel, ensuring effective communication, quality work, and appropriate management of legal matters.
• Research and advise on relevant legal, regulatory, and business issues affecting transactions and corporate activities.
• Monitor changes in laws and regulatory requirements and maintain current knowledge of developments relevant to the organization and its operations.
• Provide guidance on corporate governance and other general corporate legal matters as needed.
• Help identify, assess, and mitigate legal and regulatory risks associated with business initiatives and transactions.
• Manage multiple legal projects simultaneously, prioritizing work according to deadlines, business needs, and transaction requirements.
• Communicate complex legal concepts and recommendations clearly to business partners and other stakeholders.
• Maintain high standards of legal drafting, research, analysis, documentation, and professional judgment.
• Perform additional legal and corporate responsibilities as assigned.

Requirements

• Juris Doctor (J.D.) degree required.
• Active license to practice law in at least one U.S. state; Colorado licensure is preferred.
• At least 4 years of experience in a law firm or in-house legal department.
• Demonstrated experience with mergers and acquisitions law is required.
• Financial services industry experience is preferred.
• Strong drafting, legal research, writing, and analytical capabilities.
• Knowledge of and experience with federal securities laws, particularly the Investment Advisers Act of 1940, is preferred.
• Excellent communication and interpersonal skills, with the ability to collaborate effectively with business partners, legal colleagues, and external counsel.
• Strong organizational and project-management abilities, including the capacity to manage multiple transactions and priorities simultaneously.
• Sound legal judgment and the ability to work independently while knowing when to seek input or escalate issues.
• Strong business acumen and the ability to provide practical, commercially minded legal advice.
• Ability to operate effectively in a fast-paced environment and meet changing deadlines and business requirements.
• Willingness to work daytime and occasional evening hours as needed.
• Ability to work remotely, with office attendance potentially required depending on team needs.

• Base salary range of $145,000–$155,000 USD , with actual compensation determined by factors including location, experience, education, skills, and licenses/certifications.
