Capital Markets Associate

You will join a premier global law firm recognized for advising many of the world's leading corporations, financial institutions, private equity sponsors, and sovereign entities on their most significant and complex transactions. The firm's Capital Markets practice advises issuers, underwriters, sponsors, and investors on a broad spectrum of financing transactions, ranging from initial public offerings and follow-on equity offerings to investment-grade and high-yield debt issuances, liability management transactions, and other strategic capital-raising initiatives.

The Opportunity

As a Capital Markets Associate, you will play a key role in advising clients on sophisticated domestic and cross-border securities offerings and related corporate transactions. You will work directly with clients, investment banks, and senior lawyers to structure, negotiate, and execute complex transactions in fast-paced and highly demanding environments.

You will manage critical aspects of transactions from launch through closing, including conducting due diligence, drafting offering documents and transaction agreements, preparing securities filings, coordinating with internal and external stakeholders, and overseeing transaction execution timelines.

In addition to transactional work, you will counsel public and private company clients on securities law compliance, corporate governance matters, disclosure obligations, and ongoing reporting requirements. You will also advise on liability management exercises, tender offers, exchange offers, and other strategic financing transactions designed to meet evolving business objectives.

Responsibilities

• Advise issuers and underwriters on equity and debt capital markets transactions.
• Draft and negotiate registration statements, prospectuses, offering memoranda, underwriting agreements, and related transaction documentation.
• Conduct legal due diligence and manage disclosure review processes.
• Coordinate transaction execution with clients, financial advisors, auditors, and opposing counsel.
• Advise on U.S. securities laws, stock exchange requirements, and public company reporting obligations.
• Support strategic financing and liability management transactions.
• Manage multiple concurrent matters while maintaining exceptional attention to detail and responsiveness.

Qualifications

• J.D. from an accredited law school and admission to practice in New York (or eligibility to obtain admission).
• Prior experience representing issuers, underwriters, or financial institutions in capital markets transactions.
• Strong drafting, analytical, and project management skills.
• Excellent interpersonal and communication abilities.
• Demonstrated ability to thrive in a collaborative, high-performance environment and manage complex matters under tight deadlines.
