Mergers & Acquisitions Attorney – Madison, Wisconsin Direct Counsel is seeking a Mergers & Acquisitions Attorney to join a highly respected Am Law firm in its Madison office. This position may be filled at the Associate or Senior Counsel level depending on experience. This opportunity is ideal for an attorney with 4–8 years of experience handling sophisticated mergers and acquisitions transactions and general corporate matters. The successful candidate will join a nationally integrated transactions practice and play a leading role in domestic and cross-border transactions for public and private companies, as well as private equity clients. Key Responsibilities: Lead day-to-day execution of domestic and cross-border M&A transactions. Manage transaction timelines and coordinate internal and external deal teams. Serve as a primary point of contact for clients, counterparties, and advisors. Conduct and oversee legal due diligence and transaction workstreams. Draft, review, and negotiate purchase agreements and other principal transaction documents. Advise clients on acquisitions, dispositions, minority investments, private offerings, and general corporate matters. Identify and resolve transaction issues proactively to facilitate successful deal execution. Supervise and mentor junior attorneys and oversee delegated workstreams. Qualifications: J.D. from an ABA-accredited law school. Active membership and good standing with the Bar in at least one U.S. jurisdiction. Ability to obtain timely admission to the Wisconsin Bar as a condition of employment. 4–8 years of experience representing companies in mergers and acquisitions, investments, securities transactions, and general corporate matters. Significant experience leading domestic and cross-border M&A transactions. Strong drafting and negotiation skills, including experience with principal transaction documents. Excellent project management, writing, and communication abilities. Demonstrated ability to manage complex transactions with limited supervision. Experience mentoring junior attorneys and overseeing transaction teams. Strong attention to detail, business judgment, and problem-solving skills. Outstanding academic credentials. Why Apply?
