Capital Markets/Securities Associate

Overview New York Haynes Boone is seeking Capital Markets / Securities Associates (3+ years) to join our Capital Markets Practice Group in our New York office. This role is ideal for candidates energized by sophisticated securities and corporate transactional work and eager to advise issuers, investment banks, and institutional investors on a wide range of complex securities and corporate matters. Successful candidates will bring meaningful experience in U.S. securities laws and capital markets transactions, along with the judgement and skill to guide clients through intricate regulatory, disclosure and compliance challenges. Responsibilities Lead and execute a broad range of corporate finance transactions, including public and private securities offerings such as common stock, warrants, convertible securities, and ATM programs. Advise clients on alternative paths to the public markets, including reverse mergers, de‑SPACs, and direct listings. Qualifications Experience in corporate and securities law at a major law firm. Strong understanding of the Securities Act, Exchange Act, and relevant stock exchange rules. Strong drafting, negotiating, and communication skills.
