Paralegal – Corporate Transactions / Commercial Real Estate / M&A Employment Type: Full-Time Role Overview Expert Technical Solutions is seeking a highly experienced Corporate Transactional Paralegal to join one of our clients’ growing legal teams in Atlanta. This position will play a critical role supporting attorneys on corporate transactional matters including mergers and acquisitions, business formations, and corporate governance documentation. The ideal candidate will bring 7–10+ years of experience in corporate transactional law, with strong expertise in operating agreements, entity formation, and business purchase and sale transactions. This role will be heavily involved in drafting, organizing, and managing documentation related to corporate structuring, asset purchases, equity structures, and transactional closings. This position requires a highly organized professional who thrives in a fast-paced transactional environment, has exceptional attention to detail, and is comfortable working on complex corporate documentation such as operating agreements, shareholder agreements, and buy/sell agreements. This is a fully onsite role (5 days per week) located in the Dunwoody / Perimeter area of Atlanta. Key Responsibilities Corporate Transactions & M&A Support Assist attorneys with corporate transactional work, including mergers, acquisitions, asset purchases, and business sales. Prepare and organize closing documents for corporate transactions including asset sales, corporate restructurings, and acquisitions. Coordinate transaction checklists and manage closing deliverables. Corporate Governance & Entity Management Draft, review, and maintain corporate governance documents including operating agreements, shareholder agreements, corporate resolutions, and buy/sell agreements. Assist with corporate formation and entity structuring for partnerships, corporations, and LLCs. Prepare and file formation documents and maintain corporate records. Complex Operating Agreements Draft and analyze complex operating agreements including member classifications (Class A / Class B), waterfall structures, and preferred equity arrangements. Work closely with attorneys to structure and document ownership and governance frameworks. Transactional Documentation Assist in drafting and reviewing third-party contracts and transactional documents related to business operations. Support legal work involving business asset transactions and real estate-related deals. Legal Operations & Coordination Maintain organized transaction files and document management systems. Coordinate communications between attorneys, clients, and third parties involved in transactions. Manage multiple projects and deadlines within a fast-paced legal environment. Qualifications 7–10+ years of experience as a paralegal with a strong focus on corporate transactional work. Experience supporting mergers and acquisitions transactions, corporate governance, and business formations. Strong expertise in operating agreements and complex corporate structures. Experience preparing closing documentation for corporate transactions. Familiarity with buy/sell agreements, asset purchases, and business sales transactions. Real estate transactional exposure is a plus but not required. Strong attention to detail and ability to manage multiple priorities simultaneously. Microsoft Office Suite (Word, Excel, Outlook) Legal document management systems Experience with Interactive Legal Systems (ILS) preferred Additional Notes This role will primarily support corporate transactional work including business acquisitions and sales. Candidates with experience working on mergers and acquisitions deals, operating agreements, and preferred equity structures will be highly valued.
