About the Role
The Company is in search of a General Counsel – Corporate & Securities to take on a pivotal role as the top legal executive and strategic advisor. This leader will be instrumental in establishing and overseeing the legal function, with a primary focus on corporate governance, securities compliance, and risk management. Responsibilities include advising executive management and the Board on fiduciary duties, governance, and regulatory requirements, as well as leading all public company legal and securities compliance matters. The General Counsel will also be involved in the legal execution of capital markets and strategic transactions, and will be expected to have a strong background in corporate and securities law for publicly traded companies. The successful candidate will be a J.D. holder, an active member of a U.S. state bar, and have a minimum of 8 years' of relevant legal experience. While not mandatory, experience in commercial real estate, infrastructure development, or project finance is a plus. The role demands a professional with strong communication, negotiation, and leadership skills, who can operate both independently and collaboratively in a dynamic environment. The General Counsel will also be responsible for corporate compliance, litigation management, and a range of legal matters including intellectual property, privacy, and employment law.
