Fund Formation Paralegal

Company Description

Riveles Wahab LLP is a boutique law firm located in midtown New York City, specializing in hedge and private equity funds, investment management, startups, creative businesses, and technology companies. We work with a sophisticated client base of emerging and established fund managers and are looking for a sharp, detail-oriented paralegal (degree not required) to join our team.

What you'll do

• Assist with entity formation for investment funds, management companies, and related vehicles
• Obtain Employer Identification Numbers (EINs) from the IRS on behalf of newly formed entities
• Prepare and file Form D notices and amendments with the SEC and applicable state securities regulators
• Prepare and file Exempt Reporting Adviser (ERA) registrations and annual amendments with the SEC and state regulators
• Involved in billing matters and issuing invoices
• Maintain organized matter files and track key deadlines across active engagements
• Coordinate with clients, state agencies, and registered agents to move matters forward efficiently
• Support attorneys on a variety of fund formation and regulatory compliance tasks as needed

What we're looking for

• Prior paralegal experience in a law firm setting, ideally with exposure to fund formation, corporate, or securities work
• Familiarity with SEC EDGAR filings (Form D, ERA filings) and ADV filings preferred
• Comfort navigating state filing portals
• Attention to detail and strong organizational skills
• Ability to manage multiple deadlines in a fast-paced, client-focused environment
• A paralegal certificate or relevant degree is a plus but not required

• Starting salary of $125,000 (or more depending on experience)
