Associate General Counsel (Morristown)

Position Overview

Associate General Counsel, Sales/Commercial Transactions – part of the Zelis Sales Legal Team. Provide legal support and advice to the Zelis Sales and Client Management team. Draft, review, negotiate, and complete agreements with clients such as health plans, third‑party administrators, and self‑insured plans, and with strategic partners. Assist with a wide variety of sales transactional matters spanning regulatory areas including health insurer regulation, ERISA, and HIPAA privacy and security.

Responsibilities

• Serve as key lawyer/legal advisor on sales transactions and client management matters.
• Draft, review, negotiate, and complete a variety of sales contracts, including Business Associate Agreements, Master Service Agreements, Statements of Work, Amendments, Referral Agreements, and Reseller Agreements.
• Analyze and advise on contractual matters and issues.
• Collaborate cross‑functionally with stakeholders to resolve contractual points such as compliance, information security, employment, and operations.
• Collaborate with fellow Sales Legal Team members on process and procedure initiatives, including contract template management and playbook build‑out.
• Advise on, handle, and manage resolution of client management matters.
• Conduct research and analysis of legal issues.
• Work jointly with Sales Legal Team paralegals on projects and transactional matters.
• Interpret laws, rulings, and regulations for Zelis Sales and the business.
• Coordinate with Zelis Sales and the business to ensure compliance with applicable laws and regulations such as HIPAA, ERISA, and TCPA.
• Manage and prioritize workload to meet Zelis Sales timing objectives.

Qualifications

• J.D. degree from an accredited law school, admitted to practice.
• 5+ years of legal experience, including commercial and technology transactions; experience supporting a healthcare technology company is preferred.
• In‑house experience preferred.
• Superior legal drafting skills and experience negotiating commercial contracts and corporate documents.
• Experience working with sales teams to prioritize and close transactions.
• Ability to work decisively in a fast‑paced, high‑activity environment; manage multiple deals simultaneously.
• Collaborative team player who treats every job as significant.
• Strategic and pragmatic thinker with a growth mindset.
• Strong attention to detail, critical‑thinking, and problem‑solving abilities.
• Demonstrated accountability and ability to meet aggressive time frames.
• Excellent knowledge of business law and analytical communication skills.

• Ability to create legal defensive or proactive strategies and apply risk‑management techniques.
• Knowledge of MS Office suite.
• Proficiency with Artificial Intelligence tools such as ChatGPT, Claude, or CoPilot to streamline workflows and legal operations.

Location and Workplace Flexibility

Zelis is headquartered in the U.S. with multiple locations across the country and in Hyderabad, India. Work locations are based on the needs of the position and determined by the Leadership team. In‑office work varies by role and is guided by team and business needs rather than a fixed weekly schedule. Candidates within approximately 50 miles of a U.S. office are preferred to support collaboration.

Base Salary Range

$153,000.00 – $193,800.00
